These Terms and Conditions (“Terms”) govern your access to and use of the services, websites, applications, and related offerings (collectively, the “Services”) provided under the brand Audens Solutions (the “Brand”), operated and owned by DOMYGS LLC, a limited liability company organized under the laws of the State of New Mexico, USA (“we”, “us”, or “our”).

If you submit, upload, or otherwise provide any content (including but not limited to text, data, files, images, or feedback) (“User Content”) in connection with the Services:

1. You represent and warrant that you have all necessary rights to submit such User Content and that it does not infringe any third-party rights or violate any laws.
2. You grant us a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such User Content in connection with operating, improving, and promoting the Services.
3. We reserve the right, but have no obligation, to monitor, remove, or edit User Content at our sole discretion.

1. We do not endorse and are not responsible for the content, policies, or practices of any third-party services or websites.

1. The Services are provided on an “as is” and “as available” basis, without warranties of any kind, whether express, implied, or statutory.
2. We expressly disclaim all warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising out of course of dealing or usage of trade.
3. We do not warrant that the Services will be uninterrupted, secure, error-free, or free of viruses or other harmful components, nor that any defects will be corrected.

10. Limitation of Liability

To the fullest extent permitted by applicable law:

1. In no event shall DOMYGS LLC, its members, managers, employees, contractors, or affiliates be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, including but not limited to lost profits, loss of data, or business interruption, arising out of or in connection with your use of or inability to use the Services.
2. Our total aggregate liability for any claim arising out of or relating to these Terms or the Services shall not exceed the total amount you have paid to us for the Services giving rise to the claim during the twelve (12) months preceding the event giving rise to such liability.

Some jurisdictions do not allow the limitation of liability for certain damages, so some of the above limitations may not apply to you.

11. Indemnification

You agree to indemnify, defend, and hold harmless DOMYGS LLC and its members, managers, employees, contractors, and affiliates from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with:

1. Your access to or use of the Services;
2. Your violation of these Terms; or
3. Your infringement of any rights of any third party.

12. Termination

We may, at our sole discretion and without prior notice, suspend or terminate your access to the Services for any reason, including but not limited to:

1. Your breach of these Terms;
2. Legal or regulatory requirements;
3. Discontinuation or material modification of the Services.

Upon termination, all rights and licenses granted to you under these Terms will immediately cease. Any provisions that by their nature should survive termination shall do so, including but not limited to ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of New Mexico, United States of America, without regard to its conflict-of-laws principles.

You agree that any dispute arising out of or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the state and federal courts located in New Mexico, USA, and you consent to the personal jurisdiction of such courts.

14. Changes to These Terms

We may update or modify these Terms from time to time at our sole discretion. When we do, we will revise the “Last updated” date at the top of this page.

Your continued use of the Services after any changes to the Terms constitutes your acceptance of the revised Terms. If you do not agree with the updated Terms, you must stop using the Services.

15. Privacy

Your use of the Services may also be subject to our privacy practices or privacy policy, which describes how we collect, use, and protect your personal data. Where a separate Privacy Policy is provided, it is incorporated by reference into these Terms.

16. Not Legal Advice

These Terms are provided as general, illustrative terms for the operation of the Services under the Audens Solutions brand and DOMYGS LLC. They may not comply with all specific legal requirements in every jurisdiction or sector.
